1. Agreement Overview

This Terms of Service (“Agreement”) is a legally binding contract between LazyCats® (SC LAZY CATS SRL), a Romanian Limited Liability Company, and the Customer (“Client”).

By accessing or using any LazyCats® services, the Client acknowledges that they have read, understood, and agreed to these Terms.

If the Client does not agree, they must immediately stop using the Services.

Except for ongoing obligations (such as payments owed), the relationship between LazyCats® and the Client ends upon termination of this Agreement.

2. Disclaimer

The Website and all LazyCats® Services are provided on an “as is” and “as available” basis, without warranties of any kind.

LazyCats® does not guarantee:

  • uninterrupted or error-free service
  • complete accuracy or reliability of content
  • immunity from security breaches, malware, or harmful code
  • continued functionality of integrations (Webflow, Zapier, Make, Stripe, HubSpot, CRM tools, etc.)

The Client uses the Services at their own risk.

LazyCats® is not liable for:

  • loss of data or content
  • downtime or outages
  • third-party platform failures
  • viruses, bugs, or attacks caused by external actors
  • financial losses or business interruptions

LazyCats® does not endorse or assume responsibility for any third-party services linked or integrated into the Website.

3. Service Plans

LazyCats® offers three primary service categories:

A) Custom Webflow Systems (fixed-price projects)

These include:

  • Starter System
  • Growth System
  • Enterprise System

Deliverables, scope, and timelines are defined in the signed Proposal or Contract.

B) Monthly GrowthOps Retainers (subscription model)

LazyCats® offers monthly recurring plans:

  • Lite GrowthOps – €690 / month
  • Pro GrowthOps – €1,450 / month
  • Ultra GrowthOps – €3,000 / month

Each plan includes Webflow development hours, async communication, SEO/AEO support (depending on plan), and continuous updates.

LazyCats® reserves the right to adjust plan pricing or features with prior notice.

C) SEO, AI & Automation Packages

  • SEO Essentials – €525 / month
  • AI & Automations Pack – €1,500 / month
  • LLM-Ready SEO System – from €3,000 / month

Includes AI-assisted content, schema optimization, knowledge graph creation, FAQ hubs, automation workflows, backlink outreach, and more — based on each package description.

4. Cancellation & Renewal Policy

  • All subscriptions renew automatically each month.
  • Clients may cancel by providing a 14-day written notice before the next billing date.
  • Billing and cancellations are processed through Stripe.
  • Bypassing Stripe’s cancellation system may result in suspended service.

Refund Policy for New Clients

LazyCats® offers a partial refund window:

  • valid for the first 7 calendar days
  • only if less than 3 hours of work have been completed

Refund amount: 75% of the subscription fee.

This applies once per Client/company and only for the first billing cycle.

Work is considered started once any task is scoped, assigned, or time-logged in project management tools (Trello, Slack, ClickUp, Loom, etc.).

5. Fair Use Policy

Each plan includes a reasonable monthly workload:

  • Lite: ~6–8 hours
  • Pro: ~8–12 hours
  • Ultra: ~20–30 hours

LazyCats® may pause, reschedule, or decline tasks that significantly exceed the reasonable scope of the selected plan.

6. Acceptance of Work

Clients have two (2) business days to provide feedback on delivered work.

If no feedback is submitted, the work is considered approved.

Further revisions may be requested but will not pause or alter billing cycles.

7. Intellectual Property Rights

Upon full payment:

  • the Client owns the final delivered assets
  • LazyCats® retains ownership of:
    • internal frameworks, systems, and methods
    • reusable code
    • design systems not specifically created for the Client
    • any proprietary tools developed by LazyCats®

8. Fonts

If a project requires premium or custom fonts, the Client is responsible for purchasing the necessary licenses.

9. Client Responsibilities

The Client confirms that they:

  • are legally authorized to enter this Agreement
  • will provide timely information, content, and approvals
  • will not misuse the Services
  • will comply with applicable laws and these Terms

10. Prohibited Activities

Clients may not:

  • resell LazyCats® services as white-label without written permission
  • use the Services for fraud, illegal activities, or harassment
  • request unlimited or abusive workloads
  • copy LazyCats® processes to create competing services

11. Feedback Channels

All feedback and communication related to tasks must be submitted through:

  • Trello
  • Figma
  • Loom
  • Slack / WhatsApp

LazyCats® may use client suggestions to improve its internal tools or processes.

12. Oversight & Account Suspension

LazyCats® may restrict or suspend access if:

  • payments are overdue
  • the Client violates these Terms
  • abusive or disrespectful behavior occurs
  • the Client initiates a credit card chargeback without discussion

13. Modifications to Terms

LazyCats® may update these Terms at any time.

Updates take effect immediately upon publication.

14. Service Interruptions

LazyCats® is not liable for interruptions caused by factors outside its control, including:

  • Webflow outages
  • Zapier/Make/Stripe failures
  • internet disruptions
  • security incidents
  • API restrictions

15. Limitation of Liability

LazyCats®, its employees, contractors, and partners are not liable for:

  • lost revenue
  • lost data
  • downtime or business interruption
  • incidental, consequential, or punitive damages

Maximum liability is limited to the amount the Client paid during the last billing cycle.

16. Indemnification

The Client agrees to indemnify LazyCats® against claims arising from:

  • misuse of the Services
  • breach of these Terms
  • infringement of third-party rights
  • unlawful Client activity

LazyCats® may assume control of the defense at the Client’s expense.

17. Governing Law

These Terms are governed by the laws of Romania.

18. Client Data

Clients are solely responsible for:

  • providing accurate data
  • maintaining backups

LazyCats® is not liable for loss or corruption of Client data.

19. Electronic Communications

By using LazyCats® Services, the Client consents to receive all notices and communication electronically.

20. Portfolio Rights

LazyCats® may showcase completed work in its portfolio, social media, website, or case studies unless restricted by a signed NDA provided in advance.

21. Termination

Upon termination:

  • LazyCats® will finalize any deliverables reasonably possible within the remaining timeframe
  • Tasks too large to complete may be handed off instead

No Chargebacks Clause

Initiating a chargeback without contacting LazyCats® first results in immediate service suspension.
